TERMS AND CONDITIONS OF USE AND SALE

1. ACCEPTANCE OF TERMS

Welcome to Nababiz. These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“the User,” “you,” or “your”) and Nababiz, Inc. (“Nababiz,” “we,” “us,” or “our”). By accessing, browsing, or using the websites nababiz.com, anretails.com, and malabarfoods.ca (collectively, the “Sites”) or purchasing products through the Sites, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must immediately cease all use of the Sites.

 

2. MODIFICATIONS

Nababiz reserves the right, at its sole discretion, to modify, amend, or replace any portion of these Terms at any time. Material changes will be communicated by updating the “Effective Date” above and/or via a prominent notice on the Sites. Your continued use of the Sites following the posting of any changes constitutes your irrevocable acceptance of those modifications.

4. INTELLECTUAL PROPERTY RIGHTS

All content included on the Sites—including text, graphics, logos, images, digital downloads, and data compilations—is the exclusive property of Nababiz or its content suppliers and is protected by Canadian and international copyright and trademark laws.

  • Trademarks: Our trademarks, trade dress, and service marks may not be utilized in connection with any product or service that is not authorized by Nababiz, nor in any manner likely to cause consumer confusion or disparage Nababiz.
  • License: Nababiz grants you a limited, revocable, non-exclusive, and non-transferable license to access the Sites for personal, non-commercial use.

 

5. PROHIBITED USES

You are strictly prohibited from:

  • Reproducing, duplicating, selling, or exploiting any portion of the Sites without express written consent.
  • Utilizing data mining, robots, spiders, or similar data gathering and extraction tools.
  • Framing or utilizing framing techniques to enclose any trademark or proprietary information of Nababiz.
  • Linking to the Sites without prior written authorization from Nababiz.

 

6. USER ACCOUNTS

By using the Sites, you represent that you have reached the age of majority in your jurisdiction of residence. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account. Nababiz reserves the right to terminate accounts or cancel orders at its sole discretion without prior notice.

7. HEALTH AND MEDICAL DISCLAIMER

  • Right to Correct: We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice.
  • Order Limitations: We reserve the right to limit quantities purchased per person, per household, or per order.

 

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Nababiz, Inc., its affiliates, and their respective officers, directors, and employees from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Sites, your breach of these Terms, or your violation of any third-party rights or applicable laws.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NABABIZ PROVIDES THE SITES AND PRODUCTS ON AN “AS IS” AND “AS AVAILABLE” BASIS. NABABIZ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL NABABIZ BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF THE SITES OR THE PURCHASE OF PRODUCTS.

Note: Certain jurisdictions (such as Quebec) do not allow the exclusion of implied warranties or certain damages. If these laws apply to you, some or all of the above disclaimers may not apply.

 

11. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. You hereby irrevocably attorn to the exclusive jurisdiction of the courts located in Ontario for any disputes arising hereunder.
